1. Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined below. These definitions apply whether the terms appear in singular or plural form.

Definitions

Account means a unique account created for you to access our Service or parts of our Service.

Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

Service refers to the Syndication Tracker platform, including the website at https://syndicationtracker.com/ and the web application at https://my.syndicationtracker.com/.

Service Provider means any natural or legal person who processes data on behalf of the Company to facilitate, provide, or improve the Service.

Usage Data refers to data collected automatically, either generated by your use of the Service or from the Service infrastructure itself.

You means the individual accessing or using the Service, or the entity on behalf of which such individual is accessing or using the Service.


2. Information We Collect

Personal Information You Provide

When you register for and use the Service, we collect:

  • First and last name
  • Email address
  • Password (stored in encrypted form — we never store plaintext passwords)

Investment Data You Enter

The core purpose of the Service is to help you track your real estate syndication investments. To do this, you voluntarily enter or import:

  • Investment details: names, sponsors, property types, investment strategies, target returns, fee structures, waterfall terms
  • Transaction records: contributions, distributions, capital returns, capital losses
  • Sponsor information: contact details, portal URLs, due diligence notes and responses
  • Documents and links: references to external documents stored in your own cloud storage (we store links only, not the documents themselves)
  • Notes: timestamped notes and annotations you attach to investments
  • Ratings: your personal ratings of investments over time
  • Entity information: the legal entities (LLC, IRA, 401k, etc.) associated with your investments
  • K-1 tracking data: expected and received dates for tax documents

This Investment Data is yours. We do not sell it, share it with sponsors, or use it to solicit you on behalf of third parties.

Usage Data

We collect usage data automatically when you use the Service, including:

  • IP address
  • Browser type and version
  • Pages visited and features used
  • Time and date of visits
  • Time spent on pages
  • Device identifiers and diagnostic data

Terms of Service Acceptance Data

When you accept our Terms of Service — either at signup or when you accept an updated version — we log:

  • Your user ID
  • The version of the Terms accepted
  • Timestamp of acceptance (UTC)

This data is retained as a legal record of your agreement to our Terms.

Communications Data

If you contact us for support or with feedback, we retain the content of those communications and your contact information.


3. Tracking Technologies and Cookies

We use cookies and similar tracking technologies to operate and improve the Service.

Session Cookies are deleted when you close your browser. We use these to authenticate your session and keep you logged in during your visit.

Persistent Cookies remain on your device until they expire or you delete them. We use these to remember your preferences and settings between visits.

You can instruct your browser to refuse all cookies or to notify you when a cookie is being sent. Note that refusing cookies may affect your ability to use some parts of the Service.

We use Google Analytics to understand how users interact with the Service. Google Analytics collects usage data including pages visited, time spent, and general location derived from IP address. This data is aggregated and anonymized. You can opt out of Google Analytics tracking by installing the Google Analytics Opt-out Browser Add-on. We may also use web beacons in emails to track whether emails have been opened, which helps us understand engagement with our communications.


4. How We Use Your Information

We use the information we collect for the following purposes:

To provide and operate the Service — including processing your investment data, generating performance calculations, producing distribution projections, and operating the Action Center notification system.

To power AI features — your investment data and notes may be processed by AI systems to provide the AI Investment Assistant and AI-powered note summarization features. See Section 6 for details on AI processing.

To send service communications — including account confirmations, security alerts, and administrative notices. These cannot be opted out of as they are necessary to operate your account.

To send the monthly activity summary — a monthly email summarizing your prior month's transaction activity. This is optional and you may unsubscribe at any time.

To improve the Service — we use aggregated, anonymized usage data to understand how the Service is used, identify issues, and improve features.

To log Terms of Service acceptance — to maintain a legal record of your agreement to our Terms.

For business transfers — if the Company is involved in a merger, acquisition, or asset sale, your data may be transferred as part of that transaction. We will notify you before your data becomes subject to a different privacy policy.

To comply with legal obligations — we may use or disclose your data as required by law or in response to valid legal requests.

We do not use your Investment Data to target you with advertising. We do not sell your personal data to third parties. We do not share your data with sponsors or investment platforms.


5. How We Share Your Information

We do not sell your personal data. We share information only in the following limited circumstances:

With Service Providers — we share data with third-party companies that help us operate the Service, strictly for the purpose of providing those services. See Section 6 for the full list.

For legal compliance — we may disclose your data if required by law, court order, or valid government request, or if we believe disclosure is necessary to protect the rights, property, or safety of the Company, our users, or the public.

For business transfers — in connection with a merger, acquisition, or sale of all or a portion of our assets, your data may be transferred. We will provide notice before this occurs.

With your consent — we may share your data for any other purpose with your explicit consent.


6. Third-Party Service Providers

Important notes on AI processing:

  • Your Investment Data is sent to Google GenAI and/or Anthropic only when you use AI features (the Investment Assistant or note summarization)
  • AI providers process your data to generate responses and do not use your data to train their models under our agreements with them
  • We do not send your data to AI providers in the background or without your interaction triggering it
  • The AI Investment Assistant may suggest write operations (logging a transaction, adding a note, dismissing an alert) — these always require your explicit confirmation before execution

7. Data Retention

Active account data

We retain your personal information and Investment Data for as long as your account is active and for a reasonable period thereafter to allow for account recovery, legal compliance, and dispute resolution.

Deleted records

The Service uses a soft-delete approach for data management. When you delete an investment, transaction, sponsor, or other record within the app, that record is flagged as inactive and removed from your active views but is not permanently purged from our systems. This approach preserves data integrity, supports analytics, and enables recovery in the event of accidental deletion.

Deleted records are retained indefinitely in an inactive state.

Account deletion

If you wish to delete your account entirely, please contact us at [email protected]. We will process your request and remove your active data. Please be aware that:

  • Some data may be retained to comply with legal obligations, resolve disputes, or enforce our agreements
  • Anonymized or aggregated data derived from your usage may be retained even after account deletion
  • ToS acceptance records may be retained as legal records

Usage and analytics data

Usage Data is generally retained for internal analysis purposes and to improve the Service. It may be retained for longer periods when used to maintain security or meet legal obligations.


8. Your Privacy Rights

You have the following rights regarding your personal data:

Access — you may request a copy of the personal data we hold about you.

Correction — you may update or correct your personal information by logging into your account settings. For data you cannot update yourself, contact us at [email protected].

Deletion — you may request deletion of your personal data. See Section 7 for important details about our data retention practices before submitting a deletion request.

Objection — you may object to certain uses of your data, including the monthly summary email (unsubscribe link in every email) and AI feature processing (by not using those features).

Portability — you may request a copy of your Investment Data in a structured, machine-readable format.

9. Security

The security of your personal data is important to us. We implement commercially reasonable administrative, technical, and physical security measures to protect your data from unauthorized access, disclosure, alteration, or destruction.

These measures include encrypted password storage, JWT-based authentication with expiring tokens, user-isolated data access (no user can access another user's data), and secure connections (HTTPS) throughout the Service.

No method of transmission over the internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security. If you become aware of any security concern related to your account, please contact us immediately at [email protected].


10. Children's Privacy

The Service is intended for users who are at least 18 years of age. We do not knowingly collect personal information from anyone under the age of 18. If you are a parent or guardian and believe your child has provided us with personal data, please contact us at [email protected] and we will take steps to remove that information from our systems.


11. Links to Other Websites

The Service may contain links to third-party websites, including sponsor portals and document storage services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We strongly encourage you to review the privacy policy of every site you visit.


12. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When we do, we will update the "Last Updated" date at the top of this page and notify you via email and/or a prominent notice in the Service prior to the change becoming effective.

We encourage you to review this Privacy Policy periodically. Changes are effective when posted.
